Definitions

The following terms shall have the following meanings:

1.1 ‘The Register’ means the KeyContact database maintained by Northamptonshire Police.
1.2 ‘The Premises’ means the Customer’s premises detailed in the Register.
1.3 ‘The Customer’ means the party who is registered on the Register as the contact for, owner of or occupier of the Premises.
1.4 ‘The Keyholder’ means the person(s) who is/are recorded on the Register as holding a key to the Premises or in cases where the Premises has a remote signalling alarm with a valid unique reference number, the relevant alarm receiving centre.
1.5 ‘ Preferred Call-out Services’ means individuals or businesses specified by the customer to deal with the stated problem.
1.6 ‘Registration information’ means information in addition to details of Keyholders, such as the premises details, customer details. Preferred Call-out Services and security installations at the premises.


Northamptonshire Police Force’s obligations

2.1 To maintain the Register with details of up to 4 Keyholders notified by the Customer for 12 months, commencing upon input of details supplied by the customer.
2.2 Subject to its discretion, the Force will accept details and any subsequent relevant amendments of Registration Information and Keyholders supplied by the customer using the appropriate forms.
2.3 Upon becoming aware of any incident as a result of which the Premises are damaged in such a way as to be insecure, the Force will use all reasonable endeavours:
2.3.1 To contact the Keyholders in the order in which they are listed on the Register; or
2.3.2 If none of the Keyholders can be contacted to contact any Preferred Call-out Service to carry out any work which the Force considers in its discretion to be necessary or desirable as a result of any such incident; or
2.3.3 If the relevant Preferred Call-out Service is not available, to have any such work carried out by other appropriate contractors.
2.4 Any instructions to Preferred Call-out Service providers or other contractors shall be given on the Customer’s behalf and all work shall be carried out at the Customer’s expense.


The Customer’s obligations

3.1 To promptly pay the standard annual charge for the Customer’s inclusion in the Register and the operation of the scheme, which the Force may review with effect from the annual renewal date for the service.
3.2 To pay all sums due to service providers engaged by the Force under Clause 2 and indemnify the Force against any liability arising out of such engagements.
3.3 To use in all cases the appropriate forms to provide in writing, full and correct information and to notify the Force promptly, of any necessary changes (including, without limitation, any change of address).
3.4 To display a sticker denoting membership of the KeyContact scheme prominently on the Premises.
3.5 To supply a password of no more than 8 letters, acceptable to the Force, and to use this at all times when notifying any amendments.
3.6 To supply if necessary, relevant and appropriate to record on the Register in respect of the Premises for the better delivery of the services envisaged by the KeyContact Scheme, additional information including notification of hazardous substances kept on the premises and other appropriate information concerning vulnerabilities and security at the Premises.


Liability

4.1 The Customer accepts that the Force is, at all times, under statutory duties the discharge of which may take priority over the services (i.e. KeyContact) to be provided to the Customer hereunder: The Force will not be liable to the Customer for any loss or interruption to the service hereunder which arises from the deployment of officers and police resources to major or priority incidents occurring simultaneously.
4.2 The Force shall be under no liability whatsoever in respect of any loss or damage sustained by the Customer or any third party by reason of the Force being unable to contact the Keyholder or Preferred call-out Service provided it has made a reasonable attempt to do so.
4.3 The Force shall be under no liability for any breach of any duty of care on the part of any Preferred call-out Service or any other appointed service provider. The Force acts as agent of the Customer and not of the service provider.
4.4 Nothing in this clause or this Agreement shall exclude or restrict the Force’s liability for death or personal injury caused by the negligence of the Force or its servants or agents.


Termination

5.1 The Chief Constable may in his absolute discretion remove any Customer from the Register at any time if the Customer is in breach of any of the obligations contained in clause 3 hereof whereupon the obligations of the Force and the Customer specified therein shall cease immediately. This does not affect the Force’s statutory duty to the Customer.
5.2 The Customer will automatically be removed from the Register if the Customer moves to a location outside the control of Northamptonshire Police.
5.3 The Customer shall not under any circumstances be entitled to any refund of the whole or any part of the annual charge.
